1. Acceptance of Orders
All orders are subject to acceptance by CodeCSR. Quotations are valid for 30 days unless otherwise specified. Orders must include complete technical drawings, material specifications, tolerances, and delivery requirements.
2. Pricing
All prices quoted are based on the information provided at the time of quotation. Any changes to specifications, quantities, materials, or delivery schedules may result in price adjustments.
3. Lead Time & Delivery
Lead times are estimates and are dependent on material availability, shop workload, and receipt of all necessary information. CodeCSR will not be liable for delays beyond our control, including supplier delays, transport issues, or force majeure events.
4. Payment Terms
Standard terms are [Net 30] unless otherwise agreed in writing. Late payments may incur a [1.5%] monthly interest charge. For new customers or large orders, a deposit may be required.
5. Tolerances and Quality Control
Parts will be manufactured according to the tolerances specified in the provided drawings. If no tolerances are specified, standard machining tolerances (+/- 0.005”) will apply. It is the customer’s responsibility to ensure designs meet functional requirements.
6. Customer-Supplied Material
If the customer supplies material, it must meet the necessary specifications. CodeCSR is not liable for defects or delays caused by flawed or nonconforming material.
7. Tooling & Fixtures
Custom tooling or fixtures developed by CodeCSR remain our property unless otherwise agreed in writing. Setup and programming charges may apply.
8. Prototypes & First Articles
Prototype and first-article parts are manufactured for form, fit, and function verification and are not guaranteed to meet full production tolerances unless specified.
9. Warranty & Liability
CodeCSR warrants that all work will be performed to the specifications provided. Liability is limited to repair or replacement of defective parts. We are not liable for consequential damages, including loss of profits or production downtime.
10. Intellectual Property
All designs, drawings, and technical data provided by the customer remain their property and will be kept confidential. CodeCSR will not share or reproduce customer information without consent.
11. Cancellations & Returns
Orders cancelled after production has started may be subject to charges based on work completed and material used. Returns require written authorization and are accepted only for workmanship defects.
12. Dispute Resolution
Any disputes arising shall be governed by the laws of Wisconsin, and both parties agree to resolve disputes through arbitration or a local court.
